"Company", "NEO Learning" ("us", "we", "our" and "ours") means NEO Learning Limited, registered in England and Wales No 11046154.
"Website" means the website www.neolearning.org and all the pages, content and sub-domains contained therein.
"Customer" means any school & college who requests an educational session from an off-site educator through the Website.
"Provider" means any off-site educator (museum, university, trainer, company) who registers on the Website to provide educational sessions (video conference) to customers. Providers define the content and time schedule of educational sessions and then deliver them.
"Educational session" means 3 types of services from a provider to a customer via our service: one-to-one live video sessions, one-to-many video sessions and one-to-many live streaming.
"Users", "You", means anyone making use of the NEO Learning Services.
"Service" means any procedure or service that is provided by NEO Learning to Users, which includes, but is not limited to: information and services provided through the Website, or by telephone or email.
"Service Agreement", means any agreement reached between a provider and a customer on the educational session to be performed. A service agreement is implicitly reached between both parties when a customer books an educational session through NEO Learning platform.
Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with English law. Disputes arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the English courts.
If any provisions hereof are held to be illegal or unenforceable such provisions shall be severed and the remainder of this Agreement shall remain in full force and effect unless the business purpose of this Agreement is substantially frustrated thereby.
NEO Learning is a portal for schools to search, book and participate in live online video sessions provided by off-site educators. Different sections of the portal contain sessions covering different areas of school life: from school lessons and presentations in the Curriculum and Career sections to webinars in the Extra-curriculum and Teachers' CPD sections and to live streaming of events in the Arena section.
Off-site educators define the content and time schedule of educational sessions (events) and then deliver them. Schools search for appropriate sessions in a calendar, book the events they want to attend, participate in the booked sessions and then provide feedback comments. Users can also browse the Providers Library with more detailed information on each of the providers on the portal. Both events and provider's pages are custom-branded.
Both off-site educators and schools have accounts on the portal from which they can view a personalised calendar of completed and pending events, create analytic reports and carry out various administrative functions. In addition, off-site educators' accounts have their branding information.
Both off-site educators and schools have different categories of users: administrators, who will typically manage the organisation's account and have access to the data for the whole organisation, supervising users who either run or book events (event creators and teachers respectively) and participating users who attend events (students who attend webinars as individual attendees).
Access to features and data is controlled rigorously by user account permissions and protected by passwords.
An integrated messaging system on the portal allows its users to send direct messages to each other.
Accuracy of Information
Although we attempt to ensure that it is correct and accurate, NEO Learning cannot guarantee the accuracy of the information on this Service, and are not liable for any problems or losses arising from errors in the content.
In using the Services provided by NEO Learning, you acknowledge that NEO Learning is not acting as a contractor or agent and is not responsible for any work done. It is the responsibility of the Customer to select a suitable Provider and NEO Learning will not be involved or held liable for any Service Agreement between the Customer and the Provider.
NEO Learning owns all the intellectual property rights relating to the site, including the designs, text, database, graphics and layouts, and you agree not to use or copy any part thereof without our express permission.
The intellectual property rights on postings, messages, text, files, images, photos, video, sounds, or other materials ("content") Users upload to NEO Learning are retained by the copyright owner, and these are added to the site by Users at their own risk. In doing so you are giving expressed and irrevocable permission for us to store, display and use the content.
The intellectual property of the content of the educational sessions are retained by the copyright owner and as such cannot be recorded, unless explicit consent has been given by the provider. The copyright owner determines the conditions of storage and public availability of the recordings after sessions. The Customer who has participated in a session has the right to access the recording of the session for two weeks after the date of the session, provided the copyright owner accepts this.
By using the NEO learning platform, you implicitly agree to only use the connection service provided by NEO Learning; i.e. the customers and providers cannot use other video conference providers for the educational sessions posted on the Website.
NEO Learning assures that the Service will work with the latest official version of Internet Explorer, Mozilla Firefox, Safari, Chrome, Microsoft Edge and Opera web browsers.
Dealings with organizations and individuals
Your interactions with organizations and/or individuals found on or through the Website, including payment and delivery of services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals.
You agree that NEO Learning shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between Users on this Website, or between Users and any third party, you understand and agree that NEO Learning is under no obligation to become involved.
In the event that you have a dispute with one or more other Users, you hereby release NEO Learning, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our service.

All providers will be subject to feedback evaluations from Customers after an educational session.
Providers understand that NEO Learning is not responsible for the feedback content that those customers post, or any harm done by such content. The Customer who posts the feedback is directly responsible for its content, and the accuracy and legality thereof.
All Users understand that any use of profanity, libellous behaviour, illegal activity, or any other form of abuse of the feedback function or any other part of the website may be banned from further use and reported to the authorities, if applicable.
NEO Learning performs a number of checks on feedback with an aim to ensure that feedback is authentic, and will remove feedback that in its sole discretion appears to be fake, but makes no claim or warranty of the accuracy or authenticity of any feedback. NEO Learning may, at its sole discretion, also remove feedback at the request of the author.
Providers service agreement
The providers standard terms & conditions are listed on NEO Learning website, including the price for the service rendered.
By booking an educational session through our website, the customer implicitly agrees to the term & conditions of the provider.
NEO Learning has negotiated with certain providers educational content to be provided free of charge.
The platform advertises the following:
- For customers with an annual subscription
- The content free of charge
- The net price for the paid content; i.e. the gross price less the discount negotiated by NEO learning with the provider.
- For customers without annual subscription
- The gross price for the paid content.
As a provider you may invoice the customer the price of the service as listed on the NEO Learning platform every time you are selected for an educational session through our service.
Services, Fees & Payment Terms for Providers
Providers offering a paid service to customers agree to pay a finder fee to NEO Learning for each participant.
The fee is negotiated individually with each provider.
The fee is paid within 30 days after the session.
There are no fees to be paid to NEO Learning by the provider in any other situation.
Videoconference and storage services and costs
The provider will be invoiced by NEO Learning for the cost of the video conferencing line which needs to be paid before the 1st session starts. The video conferencing line is valid for 1 month and allows unlimited number of non-parallel sessions within that month. Each parallel video conferencing line should be paid for separately.
No educational service will be provided without prepayment.
The cost of storage service will depend on the volumes of the recordings and the time of their storage determined by the provider.
Fees & Payment Terms for Schools
Customer Subscription Fees
The customer agrees to prepay the annual Subscription fee to NEO Learning before having access to the website:
- for the educational sessions provided free of charge by the provider.
- The access to providers with paid content at a discount.
The annual subscription fee is £XXX.
There are no fees due by schools to NEO Learning by using the platform for booking educational services provided by paid providers. The provider will invoice the school directly.
There is no video conference connectivity cost to be paid by schools.
You acknowledge that NEO Learning may establish limits concerning use of the Website, including but not limited to the maximum number of days that content will be retained by the website, the maximum number and size of postings, email messages, or other content that may be transmitted or stored by the Website, and the frequency with which you may access the website.
You agree that NEO Learning has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Website. You also acknowledge that NEO Learning reserves the right at any time to modify or discontinue the website (or any part thereof) with or without notice, and that NEO Learning shall not be liable to you or to any third party for any modification, suspension or discontinuance of any services.
You agree that we shall not be liable for any loss or damages arising from the provision (or non-provision) of any part of the service, including loss of profit or consequential loss or damage.
Termination of service
You agree that NEO Learning, in its sole discretion, has the right (but not the obligation) to deactivate your account, block your email address, or otherwise terminate or restrict your access to or use of the website, immediately and without notice, for any reason, including, without limitation, if NEO Learning believes that you have acted inconsistently with the letter or spirit of the terms.
Further, you agree that NEO Learning shall not be liable to you or any third-party for any termination or restriction of your access to the website.
Further, you agree not to attempt to use the website after said termination.
NEO Learning reserves the right to change or update these terms and conditions from time to time. As a User of the website, you are responsible for acknowledging any updates of these terms and conditions by visiting this section. Any significant changes in the terms and conditions will be followed by notification emails to all active Users.
